Since its creation in 2017, NewCode Conseil has been involved in a certain number of real situations, either in the position of advising one of the stakeholders, or by taking the initiative to offer NewCode ™ to the stakeholders of a company going through an exceptional location.

NewCode Conseil is also working on the creation of an asset manager dedicated to “emancipatory” capital investment, NewCode Investment Managers, which will be operational during 2020.

(2019-2020)

NewCode Conseil is advising CGT and CFE-CGC (two major trade unions in France) on the Jéroboam project, a set of proposals made to Verallia’ management and shareholders for a socially responsible IPO of the company. These proposals cover the 5 dimensions of NewCode™: Purpose and mission, governance, business plan, value sharing, and financial structuring. The purpose and mission of the company put forward by the trade unions includes ambitious objectives in terms of  environmental impact and social matters. The project is still ongoing.

(2019-2020)

On the occasion of the imbroglio on the shareholding of Toulouse Blagnac Airport resulting from the disengagement of its Chinese shareholder CASIL, NewCode Conseil took the initiative to propose to stakeholders an ad hoc implementation of NewCode ™, setting regional development and environmental responsibility as priority factors in the enterprise project. The project is still ongoing.

(2019)

NewCode Conseil has developed, on behalf of a shared mobility platform, a funding and value-sharing system enabling the service providers to finance the development of the platform, and to become stakeholders in the platform enterprise value as well as participating to  its governance.

(2017-2018)

NewCode Conseil helped EDEIS, an airport engineering and management company, to implement a new “social pact” intended to improve team motivation, and documented in an agreement between the stakeholders of the company: management, employees and investors. The scope of the agreement included the business plan, value sharing in favorable and unfavorable scenarios, and governance.

(2018)

On the occasion of the sale of a controlling stake in SAUR by its ex-lenders shareholders (2018), and after consulting with them and with the management of the company, NewCode Conseil proposed to the short listed candidates the integration of NewCode ™ in their final offer.

(2017-2018)

In association with a leading Paris based equity investor, NewCode Conseil offered to acquire GoSport from its parent company Rallye through a takeover scheme aimed at driving the turnaround of GoSport according to the principles of NewCode™ : transparency with employees, equitable pain sharing, and re-motivation of human capital through a consensual future value sharing scheme.

On the occasion of the restructuring of the VIVARTE group in 2017, NewCode Conseil presented the Vivarte Group committee (employee representatives),  and then the shareholders and management of the company, with a NewCode ™ scheme for financial and operational restructuring, consensual business planning, equitable sharing of future value, and balanced governance.
